These Terms of Service ("Terms") govern your access to and use of songyufashion.com (the "Site"), operated by Songyu Fashion Ltd. ("Songyu", "we", "us", or "our"), and apply to any business inquiry or cooperation between you and Songyu.

By accessing the Site, submitting an inquiry, or entering into a business relationship with us, you agree to these Terms. If you do not agree, please discontinue use of the Site. If a separate written agreement (such as a mutual NDA or purchase contract) is signed by both parties, that agreement prevails over these Terms to the extent of any conflict.

Songyu is a business-to-business (B2B) manufacturer and supply-chain partner for children's, maternity and family apparel, offering OEM/ODM development, sampling and bulk production. The Site is informational: product descriptions, specifications, images, lead times and prices are provided for reference only and do not constitute a binding offer.

The Site does not sell to consumers, does not create user accounts, and does not process online payments. All orders are confirmed through written quotations and purchase orders exchanged directly with our sales team.

You agree to use the Site lawfully and not to:

• Violate any applicable law or regulation of your jurisdiction.
• Attempt to gain unauthorised access to the Site, its servers or related systems.
• Use automated means (scrapers, bots, crawlers) to extract content at scale without our written consent.
• Upload or transmit malicious code, or interfere with the Site's operation.
• Use the Site to infringe the intellectual property or rights of Songyu or any third party.

All content on the Site — including text, graphics, logos, product images, patterns, designs and software — is the property of Songyu or its licensors and is protected by applicable intellectual property laws. Songyu holds utility model patents and copyright registrations for original styles and design elements.

Client-side protection: designs, tech packs, patterns and artwork you share with us are treated as confidential and are handled under the mutual NDA described in Section 6. We do not reproduce, disclose or reuse client-owned designs for any third party.

Quotations are estimates valid for the period stated in the quotation document and are subject to final confirmation of fabric, trims, sizes, quantities and delivery terms. Our standard minimum order quantity is 300 pieces per style unless otherwise agreed in writing.

• Sampling: initial samples are typically delivered within 3-7 days after tech-pack confirmation; revision and pre-production (PP) samples follow a similar cycle.
• Golden sample: bulk production is benchmarked against a countersigned golden sample; we manufacture to match the approved sample.
• Quality standard: finished goods are inspected per AQL 2.5 with needle/metal detection applied to 100% of output, and batch test reports are provided.
• Lead times, prices and delivery terms are confirmed per purchase order and may vary with fabric availability and seasonality.

We are pleased to execute a mutual non-disclosure agreement (NDA) before you share design files, tech packs or other confidential business information. Under the NDA and applicable law, we:

• Restrict access to your confidential materials to authorised personnel and partner factories only.
• Manage sample rooms and production lines to prevent cross-contamination between client projects.
• Return or destroy your materials upon request at the end of an engagement, as agreed in the NDA.

Songyu manufactures children's and maternity apparel to the safety standards of major destination markets, including China GB 31701 Class A, US CPSIA and ASTM F963, EU EN 71-3 and REACH, and OEKO-TEX Standard 100 Class I.

You are responsible for informing us of the destination market(s) and any special certification requirements before production begins. We provide batch-level test reports and cooperate with third-party laboratories where required. See our Compliance Standards page for details.

The Site and its content are provided on an "as is" basis. While we strive for accuracy, we do not warrant that the Site is error-free, uninterrupted or free of harmful components.

To the maximum extent permitted by law, Songyu shall not be liable for any indirect, incidental or consequential damages arising from your use of the Site. Our total liability in connection with any business engagement is limited to the value of the affected order, except where caused by our wilful misconduct or gross negligence.

You agree to indemnify and hold harmless Songyu, its officers, employees and partner factories from any claim, loss or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, or your infringement of any third-party rights.

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. In the event of a dispute, both parties shall first seek resolution through friendly negotiation; if no settlement is reached within 30 days, either party may submit the dispute to a competent court in the place where Songyu is domiciled.

We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date, and material changes will be notified to active business partners where appropriate. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
